1. Introduction

These Terms of Use ("Terms") govern your access to and use of ExcerptsAI ("Service"), operated by ExcerptsAI ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

ExcerptsAI is a web platform that transforms user-uploaded ebooks into AI-generated audio excerpts. The Service uses artificial intelligence to summarize content and text-to-speech technology to create audio versions of those summaries.

2. Eligibility

To access and use the Service, you must:

• Be at least 13 years old, or the minimum age required in your jurisdiction
• Have a valid email address or social authentication account
• Have the legal capacity to enter into a binding agreement

By using the Service, you represent and warrant that you meet these eligibility requirements.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Promptly update your account information if it changes
• Accept responsibility for all activities that occur under your account

You must notify us immediately of any unauthorized use of your account.

4. User Conduct

You agree not to use the Service to:

• Upload, process, or distribute content that you do not have the legal right to use
• Infringe upon the intellectual property rights of any third party
• Upload content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Attempt to reverse engineer, decompile, or disassemble any part of the Service
• Use the Service for any illegal purpose or in violation of any applicable laws
• Interfere with or disrupt the Service or servers connected to the Service
• Share, resell, or redistribute generated excerpts for commercial purposes without appropriate rights

Misuse of the Service may result in immediate account suspension or termination, and you are responsible for any consequences arising from your actions while using the Service.

5. Intellectual Property Rights

5.1 Your Responsibility for Uploaded Content

You are solely responsible for ensuring that you have the necessary rights to upload and process any content through our Service.

By uploading an ebook or other content to ExcerptsAI, you represent and warrant that:

• You own the content, or
• You have obtained all necessary licenses, rights, consents, and permissions to use the content and to authorize ExcerptsAI to process it, or
• The content is in the public domain, or
• Your use constitutes fair use under applicable copyright law (which you have independently determined)

ExcerptsAI does not verify the ownership or licensing status of uploaded content. We rely entirely on your representations regarding your right to use the content.

5.2 No Liability for User-Uploaded Content

ExcerptsAI is a tool that processes content at your direction. We do not:

• Pre-screen or verify the copyright status of uploaded content
• Make any determination about fair use on your behalf
• Assume responsibility for any copyright or trademark infringement resulting from your use of the Service

ExcerptsAI expressly disclaims any liability for copyright, trademark, or other intellectual property infringements that may result from user-generated excerpts.

5.3 Generated Content

The AI-generated summaries and audio excerpts created through our Service are derivative of the content you upload. Your right to use these generated outputs is subject to:

• The underlying rights you hold in the original content
• Applicable copyright laws in your jurisdiction
• These Terms of Use

5.4 Stored Content and License

When you upload content to ExcerptsAI, we securely store a text version of your book's content to enable features such as excerpt regeneration, quizzes, and highlighted quotes. The original uploaded file is deleted after processing.

By uploading content, you grant us a limited, non-exclusive license to store, process, and use the stored content solely for the purpose of providing and improving the Service for you.

We do not use your content to train AI models for other users or third parties.

You may delete your stored content at any time through your account settings or by contacting support@ExcerptsAI.com.

5.5 ExcerptsAI's Intellectual Property

The Service, including its design, features, AI models, and underlying technology, is owned by ExcerptsAI and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.

6. Subscription and Payments

6.1 Free and Paid Tiers

ExcerptsAI offers both free and paid subscription tiers. Free users have access to limited features as described on our pricing page. Paid subscriptions unlock additional features and higher usage limits.

6.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan. Payment processing is handled by our payment partner, Polar.sh. By subscribing, you also agree to Polar.sh's terms of service.

6.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method on file for the renewal amount.

6.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Upon cancellation:

• You will retain access to paid features until the end of your current billing period
• Your account will revert to the free tier after the billing period ends
• Your previously generated excerpts will remain accessible (subject to free tier limitations)

6.5 Refund Policy

We offer a 7-day refund policy for first-time subscribers. If you are not satisfied with the Service within 7 days of your initial payment, contact us at support@ExcerptsAI.com for a full refund.

Refunds are not available for:

• Subscription renewals
• Requests made after 7 days from initial purchase
• Accounts terminated for Terms violations
• Promotional or discounted purchases

6.6 Price Changes

We reserve the right to modify our pricing at any time. Price changes will not affect your current billing period but will apply to subsequent renewals. We will notify you of any price changes at least 30 days in advance.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• AI-generated summaries will be accurate, complete, or fit for any particular purpose
• The Service will meet your specific requirements
• Any defects in the Service will be corrected

ExcerptsAI disclaims all warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

ExcerptsAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid to ExcerptsAI during the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless ExcerptsAI, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any content you upload to the Service
• Any claim that your uploaded content infringes the copyright, trademark, or other rights of any third party

This indemnification obligation will survive the termination of your account and these Terms.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include, but are not limited to:

• Violation of these Terms
• Suspected intellectual property infringement
• Fraudulent or abusive activity
• Request by law enforcement or government agencies

You may terminate your account at any time by contacting support or using the account deletion feature in your settings.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

11. Third-Party Services

The Service integrates with third-party services including:

• AI providers for content summarization
• Text-to-speech services for audio generation
• Polar.sh for payment processing
• Authentication providers (e.g., Google)

Your use of these third-party services is subject to their respective terms of service. ExcerptsAI is not responsible for the content, policies, or practices of any third-party services.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date.

Your continued use of the Service after changes are posted constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of England and Wales.
